What is the FNMT certificado de representante for companies?
It is the FNMT digital certificate issued to the person who represents a company, so that they can act for the company electronically before the Spanish public administrations. It identifies the representative and the entity together, and lets the company file taxes, pick up official electronic notifications, deal with the Seguridad Social and sign documents without anyone traveling to an office. It is a different product from the personal certificate, which represents only you as an individual.
Which companies need it — SL, SA, sole administrator?
Any Spanish entity that deals with the public administration electronically needs one, and for an SL or SA that is effectively unavoidable, because companies are required to receive their official notifications electronically. The FNMT issues it in three variants: Representante de Administrador Único o Solidario, for a sole or joint administrator whose appointment is recorded at the Mercantile Registry; Representante de Persona Jurídica, for other legal entities and for voluntary representatives; and Representante de Entidad sin Personalidad Jurídica, for entities without legal personality such as a comunidad de bienes.
What documents does a company need to obtain it?
The core requirement is current proof from the Registro Mercantil. For the Persona Jurídica certificate the FNMT asks for an electronic certificate of incorporation and an electronic certificate of representation, each issued within the previous 15 days and verifiable by CSV. The representative also presents a valid identity document; if they are acting as a voluntary representative rather than a registered administrator, a notarial power of attorney containing a specific clause for obtaining the certificate is required as well.
Can a foreign director get the company certificate remotely?
Often yes, though it is more constrained than the personal certificate. The representative needs a valid NIE and, on the registered-administrator route, an appointment correctly recorded at the Mercantile Registry. Identity accreditation is the step that decides whether travel is needed: a notarial power of attorney carrying the specific clause the FNMT requires — notarised and, from outside Spain, apostilled — lets a representative complete that step for the company.
How long is it valid and how is it renewed?
The FNMT representative certificates are issued with a validity of two years, half the four years of the personal certificate. Renewal is not automatic, and because the certificate depends on the representative still holding their position, it is worth starting before expiry rather than after. If the administrator changes, or the appointment lapses, the company needs a new certificate rather than a renewal.
What is the difference between a personal certificate and a company representative certificate?
The personal certificate identifies you as an individual; the representative certificate identifies you as acting for a specific company. They are not interchangeable — filing a company's return or collecting its official notifications needs the company certificate, even if you are the sole administrator. The personal one is free and valid four years; the representative certificates carry an FNMT fee of 14 € plus tax for Persona Jurídica, or 24 € plus tax for Administrador Único o Solidario, and are valid two years.
